Terms & Conditions

Please read these terms carefully before using the HMSRVC platform or mobile application.

These Terms & Conditions ("Terms") govern your access to and use of the HMSRVC platform — including the mobile application (com.hmsrvc.app), website, and related services — operated by HMSRVC LLC, a Hawaii limited liability company ("HMSRVC", "we", "our", "us"). By creating an account or using our platform, you agree to be bound by these Terms.

1 Acceptance of Terms

By accessing or using the HMSRVC platform, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use our platform.

If you are using the platform on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

2 Eligibility

To use HMSRVC, you must:

  • Be at least 18 years of age
  • Be legally permitted to enter into binding contracts under applicable law
  • Not be barred from using our services under any applicable laws
  • Provide accurate, current, and complete registration information

Contractors must additionally hold any licenses required by their state or local jurisdiction to perform the services they offer on the platform.

3 Platform Overview

HMSRVC is an online marketplace that connects homeowners with vetted, independent contractors (service professionals) for home service projects. HMSRVC provides the technology platform; it does not itself perform home services.

Important: HMSRVC is not a party to the service agreement between a homeowner and a contractor. Each contractor is an independent professional, not an employee or agent of HMSRVC.

We facilitate connections, payments, and communications but are not responsible for the quality, safety, legality, or outcome of services performed by contractors.

4 User Accounts

Registration: You must register an account to access most features. You agree to provide truthful information and keep it up to date.

Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

One Account Per User: Each person may hold one homeowner account and/or one contractor account. Creating multiple accounts to circumvent restrictions is prohibited.

Account Verification: We may require OTP (one-time password) email verification and, for contractors, manual review of submitted documents before granting full access.

5 Homeowner Terms

As a homeowner, you agree to:

  • Post accurate, truthful job descriptions including correct home type, service address, and scope of work
  • Communicate respectfully with contractors through our in-app messaging system
  • Pay the agreed service fee plus the 10% HMSRVC platform fee through the platform's payment system
  • Not solicit off-platform payments to circumvent HMSRVC's fee structure
  • Provide reasonable access to your property for scheduled service visits
  • Leave honest, accurate reviews based on your genuine experience

HMSRVC reserves the right to remove job postings that violate these Terms or contain false, misleading, or inappropriate content.

6 Contractor Terms

As a contractor ("Pro"), you agree to:

Onboarding & Verification

  • Submit accurate personal, professional, and licensing information during onboarding
  • Provide valid professional license documentation where required by your jurisdiction
  • Maintain active, current insurance for services you offer (where required by platform or law)
  • Not misrepresent credentials, experience, or qualifications

Service Standards

  • Perform all booked services in a professional, workmanlike manner
  • Arrive on time and communicate promptly with homeowners
  • Update job status accurately through the platform (Accepted → On My Way → Arrived → Work Started → Completed)
  • Honor agreed quotes and not engage in bait-and-switch pricing

Platform Rules

  • Use coins only to unlock job leads you genuinely intend to pursue
  • Not share account access with other individuals
  • Not contact homeowners outside the platform to solicit work you discovered through HMSRVC
  • Maintain an active subscription to access job leads (subject to applicable plan terms)
Contractors are independent professionals. Nothing in these Terms creates an employment, partnership, franchise, or joint venture relationship between HMSRVC and any contractor.

7 Payments & Fees

Service Fee: HMSRVC collects a 10% platform fee on each completed job transaction. This fee is charged to the homeowner and processed at the time of booking or service completion.

Payment Processing: All payments are processed through Stripe, Inc. By providing payment information, you agree to Stripe's terms of service. HMSRVC does not store raw card data.

Contractor Billing: Contractors bill homeowners separately for the cost of labor and materials. HMSRVC's 10% fee is in addition to the contractor's service charge.

Refunds: Refund requests must be submitted within 7 days of the service completion date. Refunds are evaluated on a case-by-case basis. HMSRVC's platform fee is generally non-refundable once a service has been completed.

Disputes: Payment disputes between homeowners and contractors should first be resolved through our in-app dispute process. Contact [email protected] if you cannot reach a resolution.

8 Coins & Credits

Contractors may purchase HMSRVC Coins to unlock job leads posted by homeowners. Coins are used solely for lead unlocking and job posting purposes — they are not a general-purpose currency and have no cash value.

  • Coin purchases are non-refundable once used to unlock a lead
  • Unused coins may be eligible for refund within 30 days of purchase — contact support
  • Coin pricing is set at HMSRVC's discretion and may change with notice
  • Coins are tied to the contractor account and are non-transferable

9 Subscriptions

Contractors must maintain an active subscription plan to access the HMSRVC marketplace. Available plans include 3-month, 6-month, and annual options.

  • Subscription fees are billed at the time of plan selection
  • Subscriptions do not auto-renew unless explicitly stated at purchase
  • A subscription does not guarantee a minimum number of leads or jobs
  • HMSRVC reserves the right to modify plan pricing with at least 30 days' notice to existing subscribers
  • Subscriptions are non-refundable after 14 days from the purchase date

10 Prohibited Conduct

You agree not to:

  • Use the platform for any unlawful purpose or in violation of any applicable laws
  • Submit false, misleading, or fraudulent information including fake reviews or fabricated credentials
  • Harass, threaten, or harm other users
  • Reverse engineer, decompile, or attempt to extract source code from our app or APIs
  • Use automated bots, scrapers, or scripts to access the platform
  • Create fake accounts or impersonate any person or entity
  • Post spam, unsolicited promotions, or off-platform solicitations
  • Circumvent any security, authentication, or access control mechanism
  • Transmit viruses, malware, or other harmful code
  • Engage in any activity that disrupts or degrades platform performance

Violations may result in immediate account suspension or permanent termination, at HMSRVC's sole discretion.

11 Content & Intellectual Property

Your Content: By submitting content to the platform (job descriptions, photos, reviews, profile information), you grant HMSRVC a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content for the purpose of operating and promoting the platform.

Our Content: All platform content, including logos, branding, UI designs, code, and documentation, is owned by or licensed to HMSRVC LLC and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written consent.

Feedback: Any suggestions or feedback you provide may be used by HMSRVC without obligation or compensation to you.

12 Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

HMSRVC does not warrant that:

  • The platform will be uninterrupted, secure, or error-free
  • Any contractor is properly licensed, insured, or qualified in your jurisdiction
  • The quality of services performed by contractors will meet your expectations
  • Contractor backgrounds checks are exhaustive or guarantee safe service

You use the platform and engage contractors at your own risk. HMSRVC strongly recommends verifying a contractor's credentials independently before granting access to your home.

13 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HMSRVC LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR SERVICES.

IN NO EVENT SHALL HMSRVC'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO HMSRVC IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.

14 Indemnification

You agree to indemnify, defend, and hold harmless HMSRVC LLC and its officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the platform in violation of these Terms
  • Your provision of false or misleading information
  • Any dispute between you and another user (homeowner or contractor)
  • Any injury, property damage, or loss arising from services performed or requested
  • Your violation of any applicable law or third-party rights

15 Termination

By You: You may delete your account at any time via the app (Profile > Settings > Delete Account) or by contacting [email protected].

By HMSRVC: We may suspend or terminate your account at any time, with or without notice, for:

  • Breach of these Terms or our policies
  • Fraudulent, illegal, or harmful activity
  • Extended inactivity (accounts dormant for 24+ months)
  • At our sole discretion for platform integrity reasons

Upon termination, your right to access the platform ceases immediately. Sections relating to payment obligations, intellectual property, disclaimers, limitation of liability, and governing law survive termination.

16 Governing Law & Disputes

These Terms are governed by the laws of the State of Hawaii, without regard to conflict of law principles.

Informal Resolution: Before initiating formal legal proceedings, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Arbitration: Any dispute not resolved informally shall be settled by binding arbitration in Honolulu, Hawaii, under the rules of the American Arbitration Association. You waive the right to participate in class action lawsuits.

Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

17 Changes to These Terms

We may revise these Terms at any time. When we make material changes, we will notify you via email or an in-app notification at least 14 days before the updated Terms take effect. The "Last Updated" date at the top of this page will be revised accordingly.

Your continued use of the platform after the effective date of any revision constitutes your acceptance of the updated Terms. If you disagree with changes, you must stop using the platform and may delete your account.
